How to compile Xampp control panel 3.0.x with Visual c++ 8 . or any other tool?

The new control panel is written in Delphi, so you would need delphi to compile it by yourself.
But why don't you just take the latest compilation from here?

actaully i am changing xampp directory structure that is why xampp control panel not start any thing if i change apache, php , mysql directories.
