FRESH XAMPP install Apache httpd wont execute [SOLVED}

Hi
Within the past 5 hours i have:
-rebuilt old pc
-installed Windows XP Pro SP1
-then i updated to SP2 with all available updates
-setup Remote Desktop Management (i am aware this uses IIS)
-installed XAMPP (latest version 1.7.7 as of today)
Soooo i start XAMPP Control Panel and try to start the services Apache and MySQL.
MySQL starts and is running fine (green icon that says "Running")
BUT Apache does NOT.
The Error that i get when attempting to start HTTPD.EXE:
C:\xampp\apache\bin\httpd.exe
This application has failed to start because the application configuration is incorrect. Reinstalling may fix this problem.
(i reinstalled -didnt work)
What I Have Tried:
-Editing HTTPD.CONF listen port to 81 from 80 (Windows IIS uses 80 so it would interfere)
-Then i DISABLED IIS
-Copied php5ts.dll and php_mysql.dll to apache\bin\ (this worked for someone on the internet)
-Verified php5apache2_2.dll existed in the xampp\php\
-Installed Microsoft Visual Studio 2005 re-distributional Package (this worked for someone on the internet)
I have researched/attempted to fix this problem with NO success.
please help im about to cry
